1. Eligibility

You must be at least 18 years of age and legally capable of entering into contracts. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations.

2. Account Registration

You must provide accurate and complete information when creating an account and keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Description of Service

Mentormatic is a platform designed to facilitate and manage mentoring and coaching relationships. Key features include:

  • Psychosocial assessment-based and AI-powered dyad matching
  • Dashboards for progress tracking
  • Session notes
  • Calendar coordination and in-app chat
  • Guided self-reflection and journaling tools
  • Support in creating and executing Continuous Professional Development (CPD) plan
Mentormatic does not guarantee any specific outcomes from the mentoring or coaching process.

4. License to Use the Platform

Subject to your compliance with these Terms and, if applicable, payment of the respective Subscription Fees, Mentormatic grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your professional mentoring/coaching purposes.

You may not:

  • Resell, sublicense, or commercially exploit the Service in violation of the present Terms
  • Copy, modify, or create derivative works based on the Service
  • Interfere with the functionality or integrity of the platform
  • Use the platform for unlawful, discriminatory, or harmful activity

5. User Content and Data

You retain ownership of the content (e.g., journal entries, session notes, profile information) you input into the Service ("User Content"). By using the platform, you grant us a non-exclusive, royalty-free, worldwide license to store, display, and process your User Content solely to provide and improve the Service.

You are solely responsible for the accuracy, legality, and confidentiality of your User Content.

6. Data Privacy and Confidentiality

Mentormatic complies with GDPR and applicable data protection laws. Sensitive coaching or mentoring data is stored securely and only accessed as required to deliver platform functionality (e.g., AI matching or analytics) in accordance with our Data Processing Agreement.

We will never share your personal data or User Content with third parties without your explicit consent, unless required by law.

7. Payment and Billing

If you purchase a subscription or paid plan, you agree to the pricing, billing, and renewal terms presented at the time of payment. All fees are non-refundable except where required by law.

We may modify pricing upon renewal, with advance notice of at least thirty calendar days at https://mentormatic.com/ website. Failure to pay may result in suspension or termination of your access.

8. Accreditation Compliance

Mentormatic offers journaling and tracking tools designed to assist accredited professionals in fulfilling reflective practice requirements. However, we do not guarantee that platform use alone will satisfy any specific accreditation or regulatory requirement. Users are responsible for ensuring their compliance.

9. Availability and Service Interruptions

We strive to maintain high uptime, but do not guarantee continuous availability. Maintenance, updates, or unforeseen outages may temporarily disrupt access to the Service.

10. Termination

You may delete your account at any time. We reserve the right to suspend or terminate access if you violate these Terms or use the Service in a way that causes harm to other users or the platform.

Upon termination, your right to use the Service will immediately cease. We may retain User Content as permitted by law or anonymise it for analytical use.

11. Intellectual Property

All intellectual property rights in the platform, including software, design, and branding, belong to Mentormatic or its licensors. Nothing in these Terms grants you ownership of any part of the Service beyond the license outlined in Section 4.

12. Third-Party Integrations

The Service may integrate with third-party tools (e.g., calendar apps, video conferencing, analytics). We are not responsible for third-party functionality or their terms of service.

13. Limitation of Liability

Mentormatic provides the Service "as is" and disclaims all warranties to the maximum extent permitted by law. We are not liable for indirect, incidental, or consequential damages arising from use or inability to use the Service.

Our total liability under these Terms is limited to the amount paid by you in the preceding 12 months.

14. Indemnification

You agree to indemnify and hold harmless Mentormatic, its officers, affiliates, and partners from any claims, losses, or damages resulting from your use of the Service, violation of these Terms, or infringement of any third-party rights.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed under the laws of Cyprus. Each Party irrevocably agrees that any dispute, controversy or claim arising out of or in connection with this Agreement or its violation, termination or invalidity shall be finally resolved in Arbitration and Mediation Centre of the Cyprus Chamber of Commerce and Industry (CAMC-CCCI).

Dispute Resolution Process

Mediation:

In the event of a dispute, controversy or claim arising out of or relating to this contract, including any question regarding its existence, validity or termination and any non-contractual claims, the parties agree to try in good faith to settle the dispute by mediation within 30 (Thirty) days in accordance with the Mediation Rules of the Cyprus Arbitration and Mediation Centre, for the time being in force, which Rules are deemed to be incorporated by reference into this clause.

Arbitration:

If the dispute, controversy or claim is not settled by mediation within the aforementioned timeframe, or such further period as the parties shall agree in writing, the dispute, controversy or claim shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Cyprus Arbitration and Mediation Centre, for the time being in force, which Rules are deemed to be incorporated by reference into this clause.

16. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be notified via the platform or email. Continued use of the Service after changes implies acceptance of the updated Terms.
